Captions Master End User License Agreement (EULA)

Oct 15, 2026 · @SUALVI

1. Agreement and acceptance

This End User License Agreement ("Agreement") is a binding contract between you ("you" or "Licensee") and SUALVI ("SUALVI", "we", "us", or "our"), the developer and provider of the Captions Master software (the "Software").

By downloading, installing, activating, or using the Software, or by entering or using a Licence Key, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not install, activate, or use the Software; if you have already paid, you may request a refund under Section 9 where eligible.

Effective date: 15 October 2026. If we update this Agreement, the current version is always posted at sualvi.com/eula. Questions: support@sualvi.com.

2. Definitions

  • Software — the Captions Master application, including its code, scripts, assets, templates, and any updates or documentation we provide.
  • Documentation — any user guides, setup instructions, or help materials we make available for the Software.
  • Licence Key — the unique code we issue on purchase that activates and validates your right to use the Software.
  • Subscription Licence — a Licence granted on a recurring (monthly or yearly) basis that remains valid only while your subscription is active and paid.
  • Lifetime Licence — a one-time-purchase Licence that remains valid in perpetuity for the version line it was purchased under, subject to this Agreement.
  • Device — a single computer on which the Software is installed and activated.
  • Output — the captions, Text+ clips, titles, styling, and other content you create using the Software in your own projects.
  • Host Application — DaVinci Resolve (Studio), the third-party software from which the Software is run.

3. Licence grant

Subject to your compliance with this Agreement and, for a Subscription Licence, your payment of all applicable fees, SUALVI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software for your own caption and editing work.

  • Subscription Licence — valid only while your subscription is active and paid. If your subscription lapses, is cancelled, or expires, the Licence ends and the Software will stop functioning after any applicable offline grace period (see Section 4).
  • Lifetime Licence — valid in perpetuity for the version line under which it was purchased. It does not automatically entitle you to a future paid major version that we release as a separate product.

You may use the Software for personal or commercial projects. You own your Output, and nothing in this Agreement restricts your use, sale, or distribution of the Output you create. This grant covers the Software itself, not the Host Application, which is licensed to you separately by its own provider.

4. Licence Keys, activation, and devices

Each purchase entitles you to one Licence Key for your own use.

  • Activation requires an internet connection. The first time you activate the Software on a Device, it must connect to our validation service to verify your Licence Key and register the Device. After activation, the Software may continue to run offline for a limited grace period before it must reconnect to re-validate.
  • Device limit. A Licence Key may be activated on up to the number of Devices stated for your plan at the time of purchase. We may allow you to move your Licence to a new Device; repeated or excessive re-activation may be treated as a breach.
  • Your Licence Key is confidential and personal to you. You must not share, publish, sell, lend, sublicense, or otherwise distribute your Licence Key. You are responsible for all use of your Licence Key.
  • One licence per user. A single Licence Key is intended for one person or seat. Team or multi-seat use requires a licence covering the number of seats in use.

We may deactivate or revoke a Licence Key that we reasonably believe has been shared, resold, obtained fraudulently, or used in breach of this Agreement.

5. Restrictions

Except to the extent this restriction is prohibited by applicable law, you must not, and must not permit any third party to:

  • reverse engineer, decompile, disassemble, deobfuscate, or otherwise attempt to derive, reconstruct, or discover the source code, underlying ideas, structure, or algorithms of the Software;
  • modify, adapt, translate, or create derivative works of the Software, or extract, copy, or reuse any part of its code, assets, or templates for use outside the Software;
  • circumvent, disable, tamper with, or interfere with the Licence Key check, activation, validation, update mechanism, or any security or access-control feature of the Software;
  • copy, reproduce, distribute, publish, sell, resell, rent, lease, lend, sublicense, or otherwise make the Software available to any third party;
  • remove, alter, or obscure any copyright, trademark, proprietary, or other notice contained in or displayed by the Software; or
  • use the Software to develop, train, or build a competing product, or use any automated means to scrape or extract the Software's code or content.

The Software is provided in compiled form. No rights to its source code are granted under this Agreement.

Consequences of breaching these restrictions. Any breach of this Section 5 is a material breach of this Agreement and an infringement of SUALVI's intellectual property rights. In that event, in addition to terminating your Licence, SUALVI may: (a) seek immediate injunctive relief to stop the breach; (b) recover all damages caused by the breach, including SUALVI's lost licence revenue, any profits you gained, and SUALVI's legal and enforcement costs; and (c) pursue any other remedy available at law or in equity. You acknowledge that unauthorized copying, distribution, circumvention, or reverse engineering of the Software may also expose you to statutory damages for copyright infringement — which, depending on the jurisdiction, can reach up to USD 150,000 per work infringed — and that these consequences are a fair reflection of the serious harm such conduct causes to SUALVI.

6. Ownership and intellectual property

The Software is licensed to you, not sold. SUALVI and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights in its code, design, assets, templates, name, and branding. No ownership rights are transferred to you under this Agreement, and all rights not expressly granted are reserved by SUALVI.

You retain all rights to your Output. SUALVI claims no ownership of the captions, projects, or other content you create using the Software.

7. Updates and support

We may release updates, fixes, and improvements to the Software from time to time. We may also change, add, or remove features.

  • Subscription Licence — includes updates released while your subscription is active.
  • Lifetime Licence — includes updates released within the version line you purchased. A future major version released as a separate paid product is not included.

Support is provided on a reasonable-efforts basis by email at support@sualvi.com. The Software runs inside DaVinci Resolve, which is developed by a third party; we do not control the Host Application and cannot guarantee that the Software will remain compatible with every future version of DaVinci Resolve, operating system, or hardware configuration.

8. Subscription, billing, and expiry

This section applies to Subscription Licences.

  • Recurring billing. Your subscription renews automatically at the then-current price for your plan (monthly or yearly) until you cancel. Payments are processed by our payment and checkout provider.
  • Cancellation. You may cancel at any time. Cancellation takes effect at the end of your current paid period — you keep access until that date, and you are not billed again.
  • Expiry. When a subscription period ends without renewal (through cancellation or failed payment), your Licence expires. The Software will stop functioning after any applicable offline grace period, and your Licence Key will no longer validate.
  • Price changes. We may change subscription prices. Any change applies to your next renewal, and we will give you reasonable notice where required by law. Your continued use after a price change takes effect is your acceptance of the new price.

9. Refunds

Captions Master is a digital product delivered electronically. Our refund policy is as follows:

  • If the Software does not activate or function as described and we are unable to resolve the issue, contact support@sualvi.com within 14 days of purchase to request a refund.
  • Because a Licence Key gives immediate access to the full Software, we may decline a refund where the Software is working as intended and the request is outside the window above, or where we reasonably believe the request is made in bad faith (for example, after copying or sharing the Software or Licence Key).
  • Statutory refund and consumer rights that apply to you are not affected by this section.

10. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Software is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, whether express, implied, or statutory. SUALVI disclaims all implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

SUALVI does not warrant that the Software will meet your requirements, that it will operate uninterrupted or error-free, that defects will be corrected, or that it will be compatible with any particular version of DaVinci Resolve, operating system, or hardware. You are responsible for backing up your projects and media; you use the Software at your own risk.

11. Limitation of liability

To the maximum extent permitted by applicable law, SUALVI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or project work, arising out of or relating to the Software or this Agreement, even if advised of the possibility of such damages.

SUALVI's total aggregate liability arising out of or relating to the Software or this Agreement will not exceed the total amount you paid to SUALVI for the Software in the twelve (12) months immediately before the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. In that case, SUALVI's liability is limited to the smallest amount permitted by law.

12. Privacy and data

To activate and validate your Licence, the Software sends a small amount of data to our validation service: your Licence Key and a non-identifying device identifier generated on installation. This is used only to verify your Licence, enforce device limits, and prevent abuse. The Software does not collect your media, projects, or the content of your captions.

We use the email address associated with your purchase to deliver your Licence Key and to provide support and important notices about the Software. Our handling of personal data is described in our privacy policy at sualvi.com/privacy.

13. Termination

This Agreement and your Licence remain in effect until terminated.

  • Your Subscription Licence ends when your subscription expires or is cancelled (Section 8). Your Lifetime Licence continues until terminated under this section.
  • This Agreement terminates automatically if you breach any of its terms, including the restrictions in Section 5. We may also suspend or revoke your Licence Key for breach.
  • On termination, your right to use the Software ends immediately. You must stop using the Software and remove all copies from your Devices.

Sections 5, 6, 10, 11, and 14, and any other terms that by their nature should survive, remain in effect after termination.

14. Governing law and general terms

  • Governing law. This Agreement is governed by the laws of Paraguay, without regard to its conflict-of-law rules. The courts of that jurisdiction will have exclusive jurisdiction over any dispute, except that: (i) SUALVI may bring proceedings to protect or enforce its intellectual property rights, including claims for infringement or circumvention of the Software, in any country where the infringement occurs or where an infringer resides or has assets; and (ii) applicable consumer-protection law may give you the right to bring a claim in your own country of residence.
  • Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision will be enforced to the greatest extent permitted by law.
  • Entire agreement. This Agreement governs your use of the Captions Master software specifically. Together with any policies it references, it is the entire agreement between you and SUALVI regarding the Software and supersedes any prior understanding. To the extent this Agreement conflicts with SUALVI's general store terms of service as applied to the Software, this Agreement prevails; the general store terms continue to govern SUALVI's other products, such as presets and downloadable assets.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign or transfer this Agreement or your Licence without our prior written consent. We may assign this Agreement, for example in connection with a merger, acquisition, or sale of assets.

15. Changes to this Agreement and contact

We may update this Agreement from time to time. When we do, we will post the revised version at sualvi.com/eula and update the effective date. Material changes will take effect on the date stated, and your continued use of the Software after that date is your acceptance of the revised Agreement. If you do not agree to a change, stop using the Software.
